IMPORTANT! The following legally binding terms and conditions govern your access and use of the web site located at http://www.PostNQuote.com (the “Web Site”). The Post N’ Quote website is provided by 4locals.com, Inc. (“4locals.com Inc.”, "we", "us" or "our"), located at 3328 Springvale Court, Burlington, ON L7M 3Y6, Canada. The effective date of the Agreement is the date that you accept or have been deemed to have accepted the terms and conditions herein, by accessing the Web Site. Carefully read all of the following terms and conditions before proceeding. These terms and conditions may be amended or otherwise modified by 4Locals.com, Inc. at any time and from time to time. Your accessing of the Web Site is the equivalent to your signature, signifying your acceptance of the terms and conditions and that you intend to be legally bound by them. This document should be read in conjunction with our privacy policy. The restrictions imposed under the Agreement shall apply, and be interpreted, in favour of the Corporation, to the full extent permitted by law. If you do not agree wit these terms and conditions, and our privacy policies please click on the “EXIT” button located at the top of the browser window.

For the purposes of these terms and conditions, users who place a job description online will be known collectively as "USERS" or individually as a "USER". Users who tender on the work featured on our site will be known collectively as "BUSINESSES", or individually as a “BUSINESS ".

1. PostNQuote.com (A Venue) Our site is a venue on which registered users can “POST” jobs and businesses, which are registered with us, are able to “QUOTE” (give estimates) for these jobs. The jobs posted must not be against any applicable law, or contrary to any aspect of these terms and conditions. We take no responsibility for the truth or accuracy of any job description or the ability of any particular user to pay for the job to be completed. We take no responsibility for the ability of any business to complete any aspect of a job that a business tenders for. Do not assume that jobs or any related activities are legal, simply because they are listed on our site. Users accept the sole responsibility for the legality of their actions under laws applying to themselves. You acknowledge and agree that the Corporation does not recommend, warrant, guarantee or endorse any of the products and/or services, information offered, sold or presented on any web site to which a hyper-link is found on the Web Site. You further acknowledge and agree that the businesses are solely responsible for the form and content of the FREE estimates and FREE quotes and (including but not limited to, any reports, data, information, graphics, interfaces, hyper-links, web pages, text, files, software, product names, company names, trade-marks, logos and trade names) posted or made available at or through the Web Site. You will direct any comments, complaints and/or other concerns about the form and content of any estimate, quote or job posting or hyper-link found on the Web Site directly to the applicable business or user.

2. Checks on Businesses. 1.Checks on Businesses. We do not and cannot guarantee work done by businesses that find you on PostNQuote.com. We do however have several measures in place which will help you determine the reputation of a particular business.

• Businesses must provide two recent references from satisfied customers to us during their registration process. When a business tenders for a particular job, an email will be sent to the job advertiser. If we have verified the references then the email, in addition to other information about the tender, will indicate that the references provided on registration were valid. If we have not yet verified the references, the references themselves will be provided to the job advertiser, so that he or she may verify the references.
• We also collect feedback on each of our registered businesses on an ongoing basis. The user (job poster) will be able to view the feedback of a particular business who tenders for his or her job. The job advertiser will also receive instructions on how to provide feedback on the business in the case that the business does undertake the job in question.

3. Business Registration eligibility. In order to register for a business account, users must be over the age of 18. We reserve the right to limit the access of any user that we consider suspect, acting in bad faith or under the guise of a false identity or any other reason.

4. Prohibited Jobs. Users must not place online or tender for any jobs which are prohibited by Law, or which do not conform to our own regulations. Our site is intended to make it easier for users to find quality businesses at reasonable, market dependant prices. Our site should not be used for businesses to find long-term contractual employees or employment.

5. POSTING a Job. If you POST a job online, you must ensure that you are legally able advertise, and hold to the contract as you have described it. You must describe your job and all terms in the description field of you job listing. Your listings may only include text descriptions relevant to the job. The user who places a job online is responsible for ensuring that he or she has the right to use all content in the listing and we have the right to host it on servers. All jobs must be listed in an appropriate category.

6. Estimating/Quoting Jobs. You must ensure that you are legally able to provide FREE estimate/quotes for the relevant job. In addition, you must ensure that you are legally able to perform the work specified in the POSTED job description.

7. Information Control. We do not control the information provided by other users, which is made available through the Site. You may find other user's information to be offensive, harmful, inaccurate, or deceptive. Please use caution and common sense when using the Site. Please note that there are also risks of dealing with underage persons or people acting under false pretences. By using this Site, you agree to accept such risks and agree that 4locals.com, Inc. is not responsible for the acts or omissions of users on the Site.

8. Fees. POSTING your job description online is always free. Registering your business is also free. You remain responsible however for the costs of accessing our site and contacting users. Businesses are charged a fee in the event that they tender for a job. We reserve the right to change this fee without notice in the future. Fees may be paid in advance by purchasing POST N’ QUOTE credits. Credits can be purchased securely using credit or debit card via the PAYPAL secure payments system. Credits are non- refundable, and non-transferable. Credits do not expire, until they are used on our site. Special offers may be available when purchasing credits. We reserve the right to change these special offers without notice. PAYPAL will send a receipt of payment automatically by electronic mail.

9. Your Information. Your information constitutes any information you provide to us or other users in relation to our services including registration, job listings or the commenting and reply processes. You are solely responsible for your information. We merely distribute and publicise relevant parts of the information via channels, which we reserve the right to change without notice.

10. Restrictions on Your Information. Your Information and your activities on our Site must not, be false, inaccurate or misleading, offensive, menacing, abusive, defamatory, or in breach of copyright, confidence, privacy or any other rights. Your information must not infringe any third party's copyright, patent, trade mark, trade secret or other proprietary rights or rights of publicity or privacy, be fraudulent, be in breach of any applicable laws or regulations (including, but not limited to, consumer protection, unfair competition, anti-discrimination, false advertising), be obscene, indecent or contain pornography. Your information must not create liability for us or cause us to lose (in whole or in part) the services of our ISPs or other suppliers. Your information must not link directly or indirectly to any other website. Your information may not contain any computer viruses, macro viruses, trojan horses, worms or anything else designed to interfere with, interrupt or disrupt the normal operating procedures of a computer or to surreptitiously intercept, access without authority or expropriate any system, data or personal information. Your information may not cause the Site to be interrupted, damaged, rendered less efficient or such that the effectiveness or functionality of the Site is in any way impaired.

11. License to use your information. To enable us to use Your Information, you grant us a non-exclusive, world-wide, perpetual, irrevocable, royalty-free, sub licensable (through multiple tiers) license to exercise the copyright, trade mark, publicity, and database rights you have in Your Information, in any media now known or not currently known. You also waive all moral rights you have in Your Information to the fullest extent permitted by law.

12. Use of users contact information. When a business tenders for a job, the user will receive an email, which in addition to other information about the tender, will specify contact information for the business in question. Businesses and users alike may only use contact information for the sole purpose of fulfilling a required job estimate/quote. In addition, you shall only use such information in accordance with applicable laws and regulations, including without limitation data protection and privacy laws. In all cases, you must give users an opportunity to remove themselves from your database and a chance to review what information you have collected about them. In addition, under no circumstances, except as defined in this Section, can you disclose personally identifiable information about another user to any third party without our consent and the consent of such other user after adequate disclosure. We do not tolerate SPAM or unsolicited commercial communications and neither do our users. You agree that you shall not add an employee of 4locals.com, Inc. or of a business/user, to your mailing list (email or physical mail) without their express written consent after adequate disclosure. To report SPAM from other users, please email customer_service@PostNQuote.com

13. Breach. We may limit your activity on the Site, immediately issue a warning, suspend or terminate your user registration or any of your item listings and refuse to provide our services to you without notice to you if you breach these terms and conditions or the documents incorporated by reference or we are unable to verify or authenticate any information you provide to us, or we believe that your actions may cause us financial loss or legal liability.

14. No Warranty. We (and our directors and employees) do not guarantee continuous, uninterrupted or secure access to our services, and operation of the Site may be interfered with by numerous factors outside of our control. Our website and our services are provided "as is" and as and when available, and to the extent permissible by law we exclude all implied warranties, conditions or other terms, whether implied by statute or otherwise, including without limitation any terms as to skill and care or timeliness of performance. Some jurisdictions do not allow the disclaimer of implied warranties, so the foregoing disclaimer may not apply to you.

15. Notices. Unless otherwise explicitly stated, notices regarding the website www.PostNQuote.com must be sent by registered mail to 4locals.com, Inc. 3328 Springvale Court, Burlington ON L7M 3Y6 Canada, and notices to you will be sent to the email address that you provide to us during the registration process (receipt is deemed 24 hours after an email is sent, unless we receive notice that the email address is invalid), or by registered mail.

16. Dispute Resolution. Disputes between you and us regarding our services may be reported to our Customer Support. We encourage you to report all disputes between business and users to your local law enforcement body.

17. Indemnity. You agree to indemnify and hold us and (as applicable) our directors, agents, and employees, harmless from any claim or demand, including reasonable legal fees, made by any third party due to or arising out of your breach of these terms and conditions (including the documents incorporated by reference), or your violation of any law or the rights of a third party.

18. THE CORPORATION does not assume any responsibility or liability of any kind or nature whatsoever, howsoever arising with respect to the quality of any of the products or services offered by any of the businesses, or the accuracy or appropriateness of the information, data, opinions, advices, or statements contained in the Content BY EITHER USERS OR BUSINESSES. The Content may not be accurate, up-to-date, complete or un-tampered. In providing hyper-links, to any other Web Site, the Corporation is in no way acting as a publisher or disseminator of the material and information contained therein, and the Corporation does not seek to monitor or control such Web Site. Links to another Web Site shall not in any way be construed or be a representation that the Corporation is in any way associated or affiliated with such other Web Site. You are accessing the Web Site and the Content at your own risk. You are solely responsible for the use of the sites Content and you should apply your own judgement in making any use of any of the Content.

19.The Corporation hereby grants you a personal, non-transferable and non-exclusive licence to access, read, download, Post jobs as applicable.

20. You agree not to distribute, redistribute or reproduce the Content for any purpose or to create derivative works of, reverse engineer, decompile, disassemble, adapt, translate, transmit, arrange, modify, copy, bundle, sell, sub-licence, export, merge, transfer, loan, lease, assign, outsource, publish or otherwise disseminate the Content to any person or other entity whatsoever. You agree not to infringe, or otherwise prejudice the proprietary rights of the Corporation or the Advertisers. You agree that you will not use any robot, spider or other automated means to access the Site for any purpose without our express written permission

21. With the exception of personal information, you hereby irrevocably grant to the Corporation the perpetual, unlimited, royalty-free, world wide, non-exclusive, transferable licence to run, display, copy, reproduce, publish, bundle, distribute, market, create derivative works of, adapt, translate, transmit, arrange, modify, lease, export, import, merge, transfer, assign, share, outsource, host, make available to any person or any other entity whatsoever any information or content that you provide on or through the Web Site and/or the Corporation, whether by email, key entry or any other means. You acknowledge and agree that the Corporation is not subject to any obligations of confidentiality with respect to such information unless specifically and expressly agreed to by the Corporation or required by law. Estimate and/or quote will be dealt with between users and businesses, the corporation will not deal with the security of these confidential estimates/quotes as we will not have access to the quotes at hand.

22. In no event will the Corporation, its affiliates, agents, licensors, suppliers, or their respective officers, directors, employees or agents be liable for any direct, indirect, special, incidental, punitive, exemplary, aggravated, economic or consequential damages, howsoever caused.

23. The Corporation has no obligation to update the Content of the Web Site. The Content of the Web Site may be changed from time to time without notice to you.

24.You agree to indemnify, defend and save the Corporation, its affiliates, agents, licensors, suppliers, and their respective directors, officers, employees and agents, harmless from and against any and all liabilities of every kind and nature whatsoever, howsoever arising, directly or indirectly relating to, resulting from or with respect to any information provided by you or any access or use by you of the Web Site.

25. This Agreement is effective until terminated with or without cause and without notice to you by the Corporation at its sole and absolute discretion. This Agreement, as amended from time to time in accordance with section 12 hereunder, and all other legal notices and policies on the Web Site, constitutes the entire agreement between you and the Corporation with respect to the access and use of the Web Site and the Content.

26. The terms of this Agreement may be changed from time to time, without notice to you, by the Corporation at its sole and absolute discretion. Such changes and/or termination shall not in any way limit or adversely affect the rights and remedies that the Corporation may have at law and/or in equity. All disclaimers, limitations on liability, your acknowledgement and your agreement shall survive the termination or expiration of this Agreement.

27. In the event that any section, subsection, provision or clause herein is held to be invalid or unenforceable by a court of competent jurisdiction, such invalidity or unenforceability in such jurisdiction shall, as to that jurisdiction, not affect the remainder of the provisions hereof, but such part shall be fully severable, and this Agreement shall be construed and enforced in such jurisdiction to the fullest extent permitted by law as if such invalid or unenforceable part had never been inserted herein and you agree that you would be deemed to have accepted this Agreement without such invalid or unenforceable part being included herein. In all other jurisdiction where a court of competent jurisdiction has not judge any of the sections, subsections, provisions, or clauses, hereof to be invalid or unenforceable, this Agreement shall be enforced in its entirety to the fullest extent possible in law, without any severance of any section, subsection, provision or clause.

28. This Agreement shall be binding upon and enure to the benefit of you and the Corporation and their respective heirs, estate trustees, legal personal representatives, agents, successors and assigns, as applicable.

29. This Agreement shall be governed by and construed in accordance with the laws applicable to Canada and/or the Province of Canada which you reside in. You and the Corporation hereby irrevocably attorn to the jurisdiction of the courts of Canada in the Province in which you reside in to determine all disputes and claims arising between the parties.

30. In this Agreement, unless there is something in the subject matter or context inconsistent therewith words in the singular number include the plural and vice versa, and such words shall be construed as if the plural or the singular, as the case may be, had been used; and words importing the use of any gender shall include all genders where the context or party referred to so requires, and the rest of the sentence shall be construed as if the necessary grammatical and terminological changes had been made.

31. General. No oral explanation or oral information given by any party shall alter the interpretation of these terms and conditions. This Agreement will prevail over any conditions a job owner may have specified in the description of a job and our Privacy Policy which are incorporated in these terms and conditions by use of reference. Each of the policies may be amended from time to time without notice.

32. You acknowledge that you have read and fully understood this Agreement before accessing or using the Web Site and/or the Content or any part thereof.
